Engagement Agreement

1. Parties and Scope

This Engagement Agreement ("Agreement") is entered into between you ("Client") and Hint Holdings LLC, doing business as PMI Ninja ("PMI Ninja," "we," or "us"). It governs the services we provide in connection with the removal or cancellation of Private Mortgage Insurance ("PMI") on the mortgage loan you identify during enrollment (the "Loan").

This Agreement is a separate document from the Servicer Authorization you sign for transmission to your mortgage servicer. The Servicer Authorization governs only what PMI Ninja may do with your servicer on your behalf; this Agreement governs the business relationship between you and PMI Ninja, including fees and payment.

2. Services

We will:

  • Review your mortgage statement and loan information to estimate PMI removal eligibility
  • Prepare and submit a PMI removal request to your mortgage servicer using the Servicer Authorization you sign
  • Coordinate with your servicer regarding any required valuation (reappraisal, Broker Price Opinion, or Automated Valuation Model)
  • Track the progress of your request and keep you informed of material developments
  • Provide reasonable customer support during ordinary business hours via support@pmininja.com

We are not a lender, mortgage broker, real-estate broker, attorney, accountant, or financial advisor. We do not provide legal, tax, or financial advice and nothing we say or send should be construed as such.

3. Fees

The fee for our services, the billing cadence, and the total number of charges are presented to you on the enrollment screen and on each receipt we send. By completing enrollment you authorize us to bill that amount on that cadence using the payment method you provide. The fee model and any changes to it will be disclosed before you authorize a new charge.

Specific dollar amounts are not stated in this Agreement so that the agreement does not need to be re-executed when our pricing schedule is updated. The amount and cadence that apply to your account are those displayed at the time of your enrollment and confirmed in your receipts. If you cannot locate that information, contact us and we will resend it.

4. When Charges Begin

We collect and store your payment method during enrollment using Stripe, our payment processor. The point at which billing actually starts is shown on the enrollment screen and described in the email confirming your enrollment. Until that condition is satisfied, no charge is made.

If the condition that triggers billing is never satisfied — for example, if your servicer declines to remove PMI — we do not bill you for the service, and any pre-authorization holds are released according to Stripe's standard practice.

5. Who Pays for Valuations

Mortgage servicers commonly require a valuation (reappraisal, Broker Price Opinion, or Automated Valuation Model) before removing PMI. The cost of any servicer-ordered valuation is the Client's responsibility and is typically billed directly to the Client by the servicer or the valuation vendor. We do not mark up valuation fees and we do not receive any portion of them. We will tell you in advance, to the extent we know, what the servicer's estimated valuation cost will be so that you can decide whether to proceed.

6. Refunds and Cancellation

You may cancel this Agreement at any time by emailing support@pmininja.com. Cancellation stops any future billing and ends our authority to act on your behalf going forward, but does not undo work already performed.

Charges already paid are non-refundable except where required by law or where we determine, in our reasonable discretion, that a refund is appropriate (for example, a duplicate charge or a charge made in error). Refund requests should be sent to support@pmininja.com.

Refunds are not available where the failure to achieve PMI removal was caused by inaccurate information you provided, your failure to cooperate with reasonable requests from us or your servicer, or your voluntary withdrawal after we initiated work with the servicer.

7. No Guarantee of Outcome

PMI removal depends on factors outside our control, including your current home value, loan-to-value ratio, payment history, the terms of your loan, the policies of your servicer, and the result of any required valuation. We do not guarantee that your PMI will be removed and we make no representation about the timeline.

8. Your Representations

You represent and warrant that:

  • You are at least 18 years old and legally able to enter into this Agreement
  • You are a borrower of record on the Loan
  • The information you provide to us is accurate and complete to the best of your knowledge
  • You will respond in a reasonable timeframe to requests for information from us or your servicer

9. Authorization to Communicate

By accepting this Agreement, you authorize PMI Ninja to contact you regarding your case and your account via email, by phone if you have provided a phone number, and through other communication channels you have enabled. Transactional and account-related messages are part of our service; you may opt out of optional marketing messages at any time using the preferences link in our emails or by emailing us.

10. Electronic Records and Signatures

You consent to receive this Agreement and all related disclosures, notices, and records in electronic form, and to use electronic signatures, under the federal E-SIGN Act and any applicable state law. You confirm that you can access PDF documents and email, and that the email address on file is one you control. You may request a paper copy of any electronic record by emailing support@pmininja.com; reasonable processing fees may apply. You may withdraw this consent prospectively by emailing us, in which case we may be unable to continue providing the service electronically.

11. Indemnification

You agree to indemnify and hold harmless Hint Holdings LLC and its officers, directors, employees, and contractors from any claim, loss, or expense (including reasonable attorneys' fees) arising out of (a) information you provided to us that was inaccurate or incomplete, (b) your failure to cooperate with a reasonable request from us or your servicer, or (c) your breach of this Agreement.

12. Limitation of Liability

To the fullest extent permitted by law, our aggregate liability for any claim arising out of or relating to this Agreement or the services shall not exceed the total fees you have paid us under this Agreement. In no event will we be liable for indirect, incidental, special, consequential, or punitive damages, even if we have been advised of the possibility of such damages.

13. Dispute Resolution

Any dispute arising out of or relating to this Agreement, the services, or our relationship will be resolved as described in our Terms of Service. If counsel has elected mandatory arbitration with a class-action waiver, that election will be presented to you at enrollment as a separately identified term that you must affirmatively accept.

14. Entire Agreement; Order of Precedence

This Agreement, together with our Terms of Service and Privacy Policy, is the entire agreement between you and PMI Ninja regarding the services. If there is a conflict between this Agreement and the Terms of Service on fees, billing, refunds, or the scope of services, this Agreement controls.

15. Changes

We may update this Agreement from time to time. Material changes affecting your active engagement will be communicated to you by email before they take effect with respect to you, and where required will be presented for fresh acceptance. Non-material changes (clarifications, typo fixes, contact-info updates) take effect when posted.
